Job Summary:

We are seeking a Contracts Manager / Legal Counsel to oversee the drafting, review, negotiation, and management of all company contracts while ensuring compliance with applicable laws and regulations. This role will serve as a key advisor to leadership on contractual risk, legal obligations, and process improvements.

The ideal candidate will have experience managing a variety of commercial agreements, providing practical legal advice to business teams, and ensuring the company’s interests are protected in all contractual relationships.


Key Responsibilities:

Contract Management & Negotiation:

  • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, client service contracts, NDAs, licensing agreements, and partnership deals.
  • Maintain a centralized contract repository and ensure accurate tracking of key terms, renewals, and obligations.
  • Ensure compliance with company policies, applicable laws, and industry regulations.
  • Collaborate with finance, sales, procurement, and operations to align contracts with business objectives.

Legal Counsel Duties:

  • Provide legal advice to leadership on business transactions, risk management, and regulatory compliance.
  • Identify and mitigate potential legal risks and advise on dispute resolution strategies.
  • Review and update standard contract templates and legal policies to reflect best practices and new regulations.
  • Coordinate with external counsel when specialized expertise or litigation support is required.
  • Educate internal stakeholders on contract processes, legal policies, and compliance requirements.

Qualifications & Skills:

  • Education: Juris Doctor (JD) preferred; active bar membership a plus if role includes full legal counsel responsibilities.
  • Experience:
    • 3–7 years of experience in contract management, corporate law, or in-house legal counsel.
    • Experience in [industry, e.g., technology, staffing, manufacturing] preferred.
  • Strong understanding of contract law, corporate governance, and risk management.
  • Exceptional attention to detail and ability to balance legal risk with business needs.
  • Excellent communication, negotiation, and interpersonal skills.
  • Proficiency with contract management software and Microsoft Office Suite; experience with CRM/ERP tools is a plus.
